Senior Corporate Administrator

Job Description

Duties include:
Support the take on of new clients, arranging for the incorporation of new companies and name approvals / reservations as required
Carrying out statutory work for a range of Isle of Man companies as well as companies registered in other jurisdictions such as the UK, BVI or Cayman Islands. Tasks will include incorporations, share allotments and transfers, change of officers, directors meetings, AGMs, EGMs and liquidations
Ensure that all statutory filings are made with the Companies Registry within the statutory timeframes. Tasks will include ensuring the preparation and filing of annual returns, filing of forms for change of company officers, filing of special resolutions and ensuring the registration of debentures and charges
Support the running of boards and board committees activities by helping to set agendas, preparing papers and advising on board procedures
Maintenance of the company statutory records and the management and storage of all documentation relevant to each company
Keeping under close review all legislative, regulatory and corporate governance developments that might affect a company, ensuring the company is fully briefed on these and that it has regard to them when making decisions
Ensuring compliance with all statutory filing and resolutions and any other filings required to be made at the necessary companies registry
Ensuring that AGMs have been convened for the companies within the statutory timescales and that notice has been given to shareholders
Arranging for the convening of EGMs and the issuing of notice to shareholders as required

Skills and experience required:
A minimum of 5 years’ experience within a Corporate Services role
Excellent communication skills both written and oral
Effective organisational skills, working under pressure to produce quality work within strict deadlines
PC literate
