Job Description

Duties include:
Arranging group company board meetings including ensuring that Board Packs and meetings are produced and issued in a timely manner
Attending group company board Meetings and taking minutes if required
Maintaining Company Records for group companies, including Minute Books, Corporate Registers and copies of annual and interim reports and accounts
Ensuring that all appropriate company filings for group companies are made in all relevant jurisdictions
Liaising with the external legal advisers in relation to the above activities where necessary
Acting as secretary to the Broker and Product Committees and providing support for the Pricing and Risk Committees when requested
Providing support in relation to the continued winding down of the Private Equity business, including drafting and arranging for signature of ad hoc documentation, including board resolutions and Powers of Attorney
Acting in conjunction with the Finance Department and the directors of the relevant Private Equity companies, reviewing and rationalising the portfolio of Private Equity vehicles and structures
Identifying companies within the structures which can be wound up and ensuring dissolution procedures are put in place in a timely fashion
Providing support in relation to the day-to-day operation of Funds and Accounts managed by Group companies
Assisting with requests from the Portfolio Administration Team, including requests relating to opening custody accounts and making arrangements for proxy voting
Drafting and arranging for signature of ad hoc documentation, including board resolutions, Powers of Attorney, broker account openings and assisting with W8BENs
Dealing with ad hoc requests for information from external service providers
Generally ensuring that requests and administrative matters are dealt with efficiently and effectively
Assisting the Compliance Department with Fund KYC and Due Diligence Requests from Investors
Ensuring that Fund corporate and legal documents are maintained including bibles, KYC/CDD information and copies of reports and accounts
Ensuring that copies of all Fund legal agreements, including marketing and distribution agreements are maintained
Coordinating the completion of due diligence reviews on behalf of the Funds and the Investment Manager
Ensuring that Fund and Group companies meet their reporting obligations in relation to FATCA and CRS
Carrying out and recording annual reviews of directors and fund or account KYC, including updating KYC information and the directorship lists
Ensuring that the funds comply with all relevant corporate and regulatory rules and best practice guidance, including liaising with the Compliance Department and external legal and other professional advisers in all relevant jurisdictions where appropriate

Skills and experience required:
A minimum of 3 years’ experience of a range of corporate administration matters, and ideally, some experience of fund structures
A formal corporate secretarial qualification such as ICSA (or the willingness to work towards such a qualification) is desirable
The candidate should also possess the ability to work under pressure and to tight deadlines, a proactive approach, tenacity, flexibility and excellent communication skills
